2. Services
Token Millennial provides digital marketing services including but not limited to:
Meta (Facebook/Instagram) advertising management
Google Ads management
Conversion rate optimization
Marketing strategy consulting
The specific scope of services will be outlined in a separate service agreement or proposal for each client engagement.
3. Client Responsibilities
Clients agree to:
Provide accurate and complete information necessary for service delivery
Grant appropriate access to advertising accounts and analytics platforms
Review and approve ad creative and copy in a timely manner
Pay all fees according to agreed-upon terms
Comply with all applicable advertising platform policies
4. Payment Terms
Payment terms will be specified in your service agreement. Generally:
Management fees are billed monthly in advance
Ad spend is paid directly to advertising platforms by the client
Invoices are due upon receipt unless otherwise specified
Late payments may result in service suspension
5. Payment Security
All payments are processed securely through Stripe, a PCI-DSS Level 1 certified payment processor. Your payment information is encrypted using industry-standard SSL/TLS technology and is never stored on our servers. We accept Visa, Mastercard, American Express, and Discover.
6. Intellectual Property
Upon full payment, clients own the ad creative and copy created specifically for their campaigns. We retain ownership of our proprietary methods, processes, templates, and tools used in service delivery.
7. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the engagement, including but not limited to business strategies, financial information, and campaign performance data.
8. Disclaimer of Warranties
Our services are provided "as is" without warranties of any kind. While we strive to achieve the best possible results, we cannot guarantee specific outcomes such as conversion rates, return on ad spend, or revenue increases. Digital advertising results depend on many factors outside our control.
9. Limitation of Liability
To the maximum extent permitted by law, Token Millennial Holdings LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability shall not exceed the fees paid by you in the three months preceding the claim.
10. Termination
Either party may terminate services with 30 days written notice unless otherwise specified in the service agreement. Upon termination, the client is responsible for any outstanding fees and ad spend incurred.
11. Indemnification
You agree to indemnify and hold harmless Token Millennial Holdings LLC from any claims, damages, or expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights.
12. Governing Law
These terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
13. Changes to Terms
We reserve the right to modify these terms at any time. Continued use of our services after changes constitutes acceptance of the modified terms.
Token Millennial Holdings LLC is committed to client satisfaction. This policy outlines the terms under which refunds may be issued for our digital marketing services.
Service Fees
Monthly Management Fees: Management fees are non-refundable once the service period has begun, as they cover the time and resources allocated to your account. If you are unsatisfied with our services, you may cancel with 30 days notice, and no further fees will be charged.
Setup Fees: One-time setup or onboarding fees are non-refundable once work has commenced, as they cover initial account audits, strategy development, and campaign setup.
Consulting Fees: Fees for consulting calls or strategy sessions are non-refundable once the session has taken place.
Advertising Spend
Ad spend paid directly to advertising platforms (Meta, Google, etc.) is subject to each platform's own refund policies. Token Millennial does not control or process ad spend refunds—these must be requested directly from the respective platform.
Exceptions
Refunds may be considered in the following circumstances:
Services were not delivered as specified in the service agreement
Technical issues on our end prevented service delivery
We will review your request and respond within 5 business days.
Processing Time
Approved refunds will be processed within 10 business days. Refunds will be issued to the original payment method.
Cancellation
You may cancel ongoing services at any time with 30 days written notice. Cancellation stops future billing but does not entitle you to a refund for services already rendered or the current billing period.
